Smith Micro Software Enters Agreement to Acquire TouchStone Software's Award-Winning CheckIt Product Line

Significantly Enhances Smith Micro's Position in the Wireless, Retail, and Internet Marketplaces

ALISO VIEJO, CA (August 1, 2000) - Smith Micro Software, Inc. (Nasdaq: SMSI), a developer and marketer of a wide range of software and service solutions for the wireless and Internet markets, today announced it has entered into a definitive agreement with TouchStone Software Corporation for the acquisition of the entire Touchstone CheckIt® line of software products. The acquisition is expected to close prior to the end of the third quarter. Smith Micro will use the CheckIt products and award winning technologies to strengthen its position in software solutions for the wireless and Internet markets.

Smith Micro will market the products under the Smith Micro CheckIt brand including: CheckIt® NetOptimizer, CheckIt® Utilities; CheckIt® FastMove®; and CheckIt® Suite. CheckIt NetOptimizer has earned awards and accolades from WINDOWS Magazine, PC World, Computer Shopper, PC Magazine and other publications. The CheckIt Utilities and FastMove products both received five star ratings by PC Magazine as top general system utilities software programs in April 2000.

CheckIt NetOptimizer analyzes and optimizes wireless, broadband and dialup Internet connections for maximum performance. CheckIt Utilities enables users to uncover potential problems, check PC performance and assess system reliability; features include Windows NT support as well as anti-virus software. CheckIt FastMove is a file synchronization and transfer program for users who work on multiple PC's and also includes file management utilities to organize hard drives by compressing and archiving unused files, identify duplicate or orphaned files, and execute global searches on any number of hard drives. These products will also be included as components in the CheckIt Suite product. All four products are expected to be available under the Smith Micro CheckIt brand at major retail chains or through Smith Micro's web site at http://www.smithmicro.com/ later this quarter. These products will also be available in special versions for OEM customers along with CheckIt Factory Edition, targeted at PC manufacturers for factory testing and burn-in.
